Terms of Service for TakeStage

These Terms of Service (“Terms”) are an agreement between you and Popovmedia LLC, a Florida limited liability company with its address at 1343 Main St, Unit 301, Sarasota, FL 34236 (“TakeStage”, “we”, “us”). They govern your use of the TakeStage app for iOS, the TakeStage Sessions and Dashboard websites, and everything we offer through them (the “Service”).

1. Introduction and Acceptance of Terms

TakeStage is a place for teachers, students, performers and collaborators to meet by live video, record music on their own devices, and share the results. You can join multi-person video sessions, record locally on your device so a recording survives a weak connection, upload recordings to your library, add notes and markers, share recordings with the people you choose, and ask a host or teacher to start or stop a recording or change your camera zoom during a live session. Some features use automated processing, such as turning dictated notes into text, as described in Section 3.

By creating an account, signing in, joining a session, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you do not agree, do not use the Service. When we change these Terms in a material way, we may ask you to accept the new version before you continue.

You must be at least 13 years old to use the Service. If you are under 18, please make sure a parent or guardian knows you use TakeStage. A teacher, host or parent who invites, records or shares a person under 18 is responsible for getting any permission the law requires from that person’s parent or guardian.

2. Your Account

To use many features you need an account. Give us accurate, current information and keep your sign-in details private. You are responsible for what happens under your account, and you should tell us at once if you think someone else has used it.

You can create an account with an email and password, or sign in with Google or Apple. When you use Google or Apple, you let us receive the information they share with us (such as your name and email, or an Apple private relay address) as their terms and our Privacy Policy allow. We do not control Google or Apple and are not responsible for their practices.

You can join a session from an invite link without a full account, but some features (such as your library, sharing and subscriptions) need an account. TakeStage works with the cameras and microphones built into your device and with many external ones. We cannot promise that every third-party device will work.

3. Your Content and Our License

“Your Content” means the recordings, notes, markers, transcripts, AI-generated results and other material you create, upload or send through the Service.

You keep ownership of Your Content and all rights in it. You give us a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit and display Your Content only so we can provide, secure and improve the Service. That includes hosting it, showing it to the people in a session or the people you share it with, making backups, creating the video versions and preview images the app needs, and producing the transcripts and results of features you use. We do not sell Your Content. We do not use Your Content to train AI models unless you explicitly opt in to that, and you can withdraw your opt-in later.

Notes and transcripts. When you dictate a note in the iOS app, your speech is turned into text on your device, and the text is saved with the recording. Transcripts and notes can contain mistakes or leave things out.

AI features. We do not currently offer features that use AI to analyze your recordings. If we add one, we will tell you in the app before it processes your content, and we will update these Terms and our Privacy Policy. Any such result would be generated automatically from Your Content and treated as part of Your Content. It could be wrong, incomplete, biased or unsuitable. It would not be an assessment of your ability, it would not predict the result of any audition, admission or competition, and it would not replace the judgment of a teacher or other professional.

Rights in what you record. You are responsible for having the rights to what you record, upload and share, including music that is under copyright. TakeStage is a private recording and lesson tool. It does not license music for public performance or distribution, and you may not use it to infringe anyone’s rights. We may remove content that breaks these Terms or the law, with or without notice.

Sharing. When you share a recording, the people you share it with can view it, and may be able to download it. Recordings made in a session may be shared automatically with the people in that session, as the app shows. You control what you share from your library.

4. Recording, Remote Control and Consent

Consent to record. Before you start a recording, or allow one, tell everyone who is in it and get any consent the law requires, including consent from a parent or guardian for a person under 18. Do not record anyone who has not agreed. A host or teacher who starts a recording on another person’s device must have that person’s consent first. Recording laws differ by place, and in some places everyone in a conversation must agree. You are responsible for following the laws where you and the other participants are.

Remote control. During a live session, a host or teacher can start or stop a recording on another participant’s device, with or without a short count-in, and can change that device’s camera zoom, so the recording comes out well. When you are in a session, your device accepts these requests automatically. Only join sessions with people you trust, and tell the people you invite what to expect. Remote control works only during the live session and only on your camera and microphone feed. It does not give anyone access to anything else on your device. You can end it at any time by leaving the session.

Local recording. Recordings are saved on your device first and upload when your connection allows, so a dropped connection does not lose them.

We are not responsible for recordings that turn out badly because of remote adjustments, a poor connection or your equipment. You are responsible for the final recording.

5. People in a Session

The person who starts a session is the host. A host decides who may join and may remove anyone. A teacher guides a lesson, and a performer plays and is recorded. A host or the app may give participants different permissions in a session, and those permissions end when the session ends. Being in a session does not give anyone access to another person’s library unless that person shares a recording. A host who misuses controls, or anyone who harasses others in a session or in chat, may be removed from the session.

6. Prohibited Conduct

You agree not to: use the Service for anything illegal; upload malware or other harmful content; interfere with or try to break the Service, or scrape or reverse engineer it; pretend to be someone else; record, share or distribute a person’s recording without the consent the law requires; share recordings beyond the people they were meant for; harass or abuse other users; or violate anyone’s rights. You also agree not to present AI-generated results as a professional endorsement or as a human’s work. We may suspend or end accounts or sessions for violations, with or without notice.

7. Fees, Payments and Storage

Some features need a paid plan. Subscriptions are bought through the Apple App Store, billed and renewed by Apple, and managed in your Apple ID settings. Prices may change with notice. Fees are not refundable except as the law or Apple’s policies require.

Each plan includes a storage allowance for your recordings, shown in the app. If you go over your allowance, we warn you in the app and ask you to make room. If you do not, we may delete your oldest recordings until you are back under your allowance. If a subscription ends, your allowance returns to the free allowance and the same rule applies. See the Privacy Policy for how long we keep content.

8. Intellectual Property

The Service and TakeStage materials belong to us and our licensors. We give you a limited, revocable, non-transferable license to use the Service for personal, non-commercial recording, learning and collaboration, in line with these Terms.

9. Third-Party Services

The Service relies on other companies, such as Amazon Web Services for hosting and storage, Google and Apple for sign-in, and Apple for subscriptions. Their terms apply to your use of their services. We are not responsible for their content, availability or practices.

10. Termination

You can stop using the Service at any time and can delete your account in the app (see the Privacy Policy for what that does). We may suspend or end your access if you break these Terms or the law, with or without notice. When access ends, your license to use the Service ends. If the host ends a session, everyone’s access to that live session ends at once, and recordings already uploaded stay in the libraries of the people they belong to.

11. Disclaimers and Limits on Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL WARRANTIES, INCLUDING ABOUT RECORDING QUALITY, UPLOAD SUCCESS, THE ACCURACY OF TRANSCRIPTS AND AI RESULTS, AND THE ACCURACY OF ANY GUIDANCE. TO THE MAXIMUM EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, SUCH AS LOST AUDITION OR PERFORMANCE OPPORTUNITIES, LOST PROFITS, OR DATA LOSS DURING INTERRUPTIONS. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.

You should not rely on AI results as professional advice or as the only source of truth. We are not liable for damages from using them, including errors in transcripts or analyses. Some places do not allow some of these limits, so they apply only as far as the law permits.

12. Children

The Service is not directed to children under 13, and we do not knowingly collect personal information from them. If we learn that a child under 13 has an account, we will close it and delete the information. People aged 13 to 17 should use TakeStage with the knowledge of a parent or guardian, and Section 1 explains who is responsible for permissions when a person under 18 is invited or recorded.

13. Governing Law and Disputes

These Terms are governed by Florida law, without its conflict-of-law rules. Before starting a claim, please write to us at info@takestage.live and give us 30 days to try to resolve it. If we cannot, claims will be heard in the courts located in or serving Sarasota County, Florida, except that either of us may bring a claim in small claims court if it qualifies. If you live in the EU, the UK or another place with mandatory consumer protections, those protections still apply.

14. Changes to These Terms

We may update these Terms. We will tell you about material changes in the app or by email, and we may ask you to accept the new version. If you keep using the Service after the new version takes effect, you accept it. Older versions are available on request.
