Terms of Service for TakeStage Interactive Application

1. Introduction and Acceptance of Terms

Welcome to TakeStage, a live collaborative remote recording studio application available on iOS and Web platforms (“Service” or “App”). The Service is designed for performing artists, educators, and collaborators to enable real-time video calls for music auditions and performances, remote control of devices for high-quality recordings, and creation of durable video/audio content that persists even during internet interruptions. Key features include joining multi-participant video calls, remotely controlling camera and audio settings, automatic synchronous uploads to our Content Management System (CMS), sharing recordings with select participants, generating transcriptions of calls, and using Generative AI for music analysis and feedback.

These Terms of Service (“Terms”) govern your access to and use of the Service, including any content, functionality, and services offered on or through the App. By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy (incorporated herein by reference), and any applicable additional terms, including acceptance of role-based features (e.g., Creators, Producers, Audience) and AI-related processing. If you do not agree, you may not use the Service.

The Service is intended for users who are at least 13 years of age, in compliance with the Children’s Online Privacy Protection Act (COPPA) and applicable state laws. Users under 13 are not permitted to use the Service. For users aged 13-17, parental consent may be required in certain jurisdictions (e.g., under EU/UK GDPR/DUAA or state minor protections), particularly for audition-related features involving sharing, guidance, transcription, or AI analysis.

These Terms comply with applicable laws, including the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), other US state comprehensive privacy laws (e.g., Delaware Personal Data Privacy Act, Iowa Consumer Data Protection Act), the EU General Data Protection Regulation (GDPR), and the UK Data Protection Regime (including the Data (Use and Access) Act 2025). We do not discriminate against users for exercising their rights under these laws.

2. User Accounts

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Account creation may be facilitated through third-party services, such as Google (Gmail) or Apple (Sign in with Apple). By using these methods, you authorize us to access and use information from your third-party account as permitted by those services’ terms and our Privacy Policy. We do not control these third-party services and are not responsible for their privacy practices.

You may join sessions via invite links without a full account, but full functionality (e.g., CMS access, sharing, transcription, AI analysis) requires registration. The Service supports selection of internal and external video/audio devices; however, we disclaim liability for compatibility issues or failures with third-party hardware. In the CMS, users may look up and friend others for social sharing of recordings, subject to privacy settings.

3. User Content and License

“User Content” includes any recordings, transcriptions, AI-generated analyses, metadata, or other materials you upload, generate, or transmit through the Service, such as video/audio sessions from auditions, call transcriptions, music analysis outputs, and related manifests.

You retain ownership of your User Content, including all intellectual property rights. By using the Service, you grant TakeStage a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display your User Content solely for the purpose of providing and improving the Service. This license allows us to: (i) host and share your Content with session participants and intended audiences (e.g., collaborators you designate, such as Producers or coaches); (ii) generate transcriptions of call sessions, store transcription manifests, and share them with participants; (iii) perform Generative AI music analysis (e.g., feedback on performance style, phrasing, or technical aspects) and share outputs with participants; and (iv) perform necessary operations like backups, analytics (anonymized where possible), and uncompromised high-quality storage in the Content Management Site (CMS). We do not sell your User Content or use it for any commercial purpose beyond facilitating your use of the Service, such as enabling downloads, edits, and sharing via social lookup/friending. We do not use your User Content to train AI models without your explicit opt-in consent.

Sharing may be automatic (e.g., with session participants) or manual (e.g., selecting recipients post-session). You control editing and downloading of Content in the CMS. You represent and warrant that your User Content does not infringe third-party rights and complies with these Terms and applicable laws, including for audition submissions (e.g., no unauthorized use of copyrighted music). We may remove User Content that violates these Terms without notice.

For call transcriptions: When enabled, the Service may automatically or manually generate text transcripts of audio sessions (e.g., for performance feedback). These transcripts and their manifests (e.g., timestamps, speaker labels) are stored securely and shared only with session participants or as you direct. Transcripts are treated as User Content under this license. Accuracy of transcripts is not guaranteed, and they may contain errors or omissions.

For Generative AI music analysis: Certain features use AI to analyze recordings and provide outputs such as suggestions on musical phrasing, style, or technical improvements. These AI outputs are generated based on your User Content and are treated as part of User Content. You are responsible for evaluating the accuracy and appropriateness of AI analyses, which may be incomplete, biased, or inaccurate due to the nature of AI technologies.

4. Remote Control Features

The Service includes features allowing designated users (e.g., Producers and Creators) to remotely control certain device settings during an active stage session, such as starting/stopping recording, zooming in/out on the camera, and adjusting white balance, brightness (gain), or microphone signal levels. This functionality is limited to the camera and microphone feeds of individual participants (e.g., Creators) and operates only during the live session with your active participation. These controls support artistic and technical guidance, such as camera placement or lighting adjustments, to help create high-quality audition recordings.

By joining a stage session and enabling these features, you provide explicit consent for such remote control access during that session, including any associated transcription or AI music analysis processing, in accordance with our Privacy Policy and applicable laws (e.g., GDPR consent requirements, CCPA transparency). Remote control does not extend beyond the session or require access to other device functions. No remote access is granted without your active involvement in the session. Recordings persist locally on your device during interruptions and auto-upload to the CMS upon reconnection, ensuring durable quality without compression degradation.

We disclaim liability for any issues arising from remote controls, such as suboptimal adjustments leading to recording quality concerns—users are responsible for final Content. You may revoke access at any time by disconnecting or leaving the session.

4.5 User Roles and Permissions

The Service uses role-based permissions to facilitate collaborative sessions, assigned by the session host or invite:

  • Creators: Record control own device and remotely control other Creator devices in the same session, select preferred video/audio inputs (internal/external), and generate personal Content. They own recordings and control sharing/editing in the CMS.
  • Producers: Guide sessions by remotely controlling Creator devices (as detailed in Section 4), provide artistic/technical feedback (e.g., on phrasing, lighting, mic gain), access shared Content for review, and may receive AI-assisted suggestions for adjustments. Producers cannot access non-session data or make permanent changes.
  • Audience: View live sessions, participate in chat for feedback, but cannot control devices or record Content.

Roles are session-specific. Limitations include: no role grants access to private CMS files without friending/sharing consent; chats are moderated for appropriateness. Revocation occurs by host reassignment or user disconnection.

Edge cases: Misuse of Producer controls (e.g., unauthorized adjustments) may result in session termination; inter-role disputes (e.g., blocking offensive chat) are handled by host muting/removal; session dropouts preserve roles for rejoining but require re-consent for controls.

5. Prohibited Conduct

You agree not to: (i) use the Service for illegal purposes; (ii) upload harmful content (e.g., viruses); (iii) interfere with the Service; (iv) impersonate others; or (v) violate third-party rights.

Role-specific: Producers may not demand unsafe or non-consensual adjustments; no user may harass via chat or misuse roles (e.g., Audience recording live streams without permission); Creators must not share audition Content beyond intended recipients (e.g., unauthorized social distribution). Additionally, you may not misuse AI outputs, such as claiming AI-generated music analysis or transcripts as professional endorsements or using them to infringe rights. We may suspend or terminate accounts or sessions for violations, with or without notice.

6. Fees and Payments

Certain features require a subscription. The Service offers a free tier for basic auditions (e.g., limited sessions/storage) and premium plans per month for unlimited access, advanced CMS sharing, transcription, AI analysis, and extended retention. Fees are non-refundable except as required by law. We may change pricing with notice. Upon subscription cancellation, Content remains accessible for 30 days per our Privacy Policy.

7. Intellectual Property

The Service and TakeStage materials are our property. You are granted a limited, revocable license to use the Service for personal, non-commercial purposes, including recording and collaboration.

8. Third-Party Services

The Service may integrate third-party services (e.g., AWS for storage). Your use is subject to their terms. We are not responsible for third-party content or failures.

9. Termination

You may stop using the Service at any time. We may terminate or suspend access for violations, with or without notice. Upon termination, your license ends, and you must delete App data. Session-specific terminations (e.g., host ends stage) revoke roles and access immediately, preserving uploaded Content in the CMS for designated users.

10. Disclaimers and Liability

THE SERVICE IS PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES, INCLUDING FOR RECORDING QUALITY, UPLOAD SUCCESS, OR GUIDANCE ACCURACY. LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT DAMAGES, SUCH AS LOST AUDITION OPPORTUNITIES, DATA LOSS DURING INTERRUPTIONS (DESPITE PERSISTENCE FEATURES), OR STRESS FROM COLLABORATION (WHILE WE PROMOTE COMFORTABLE SPACES, NO THERAPEUTIC GUARANTEE).

For AI features, including transcriptions and music analysis: Outputs may be inaccurate, incomplete, biased, offensive, or unsuitable due to the probabilistic nature of AI. We make no warranties regarding the accuracy, reliability, or appropriateness of AI-generated content, and you should not rely on it as professional advice or the sole source of truth—always verify independently with human review. We are not liable for any damages arising from use of AI outputs, including errors in transcripts or analyses.

10.3 Termination of Access

You may revoke remote control access at any time during a session by simply disconnecting or leaving the stage session.

11. Children’s Use

The Service is not directed to children under 13. We do not knowingly collect data from such children. For users 13-17, additional protections apply under state laws (e.g., opt-out for targeted ads). In audition use-cases, parental consent is required for features like Producer guidance, Content sharing with coaches, school/community recordings, transcription of calls involving minors, or AI analysis of their performances/voices.

12. Governing Law and Dispute Resolution

These Terms are governed by California law (excluding conflicts). Disputes shall be resolved in Santa Clara County courts. For EU/UK users, local consumer laws apply. Multi-user sessions across jurisdictions are subject to the host’s governing law, with users responsible for compliance in their location (e.g., international auditions).

13. Changes to Terms

We may update these Terms. Continued use constitutes acceptance. We will notify you of material changes via email or in-app.
